Well the good news is I got the replacement and it is in place.
The freeware utility I used: http://www.partition-saving.com/
worked great. Back without a problem.... except the bad sector count came over with the disk image.

So how do you reset the bad sector count?
I tried chkdsk /F /R but it didn't change the count.

Picked up a copy of ghost 2003 by buying Norton System Works 2003 Professional from pctekonline.com for $14 incl. shipping. Used that to do a partition image, deleted the partition, formatted, and then restored that image. Sector count is back to zero.
